1. Acceptance of Terms
All orders placed with MK Machining (“Company”) are subject to these Terms and Conditions unless otherwise agreed to in writing. Submission of a purchase order constitutes acceptance of these terms.
2. Quotations
All quotations are valid for 30 days unless otherwise specified. Pricing is based on information provided at the time of quoting including drawings, specifications, quantities, materials, and delivery requirements. Changes may result in price adjustments.
3. Purchase Orders
Purchase orders must reference the applicable quotation and include all relevant documentation such as drawings, revisions, specifications, and special requirements.
4. Payment Terms
Unless otherwise agreed in writing, payment terms are Net 30 days from invoice date. Accounts with balances not paid by the due date may be subject to a late payment charge of 1.5% per month (18% annually) or the maximum amount permitted by law, whichever is lower. MK Machining reserves the right to suspend shipments, suspend production, or place accounts on credit hold until all past due balances are paid in full. MK Machining also reserves the right to require prepayment for future orders if an account becomes delinquent. Customers agree to pay all reasonable costs of collection including attorney’s fees, court costs, and collection agency fees incurred in recovering unpaid balances.
5. Pricing Adjustments
Quoted pricing may be adjusted if there are significant increases in raw materials, supplier costs, freight charges, tariffs, or regulatory changes.
6. Delivery
Delivery dates are estimates based on current production schedules and supplier availability. MK Machining is not liable for delays caused by supplier delays, material shortages, equipment failure, or other uncontrollable events.
7. Shipping
Unless otherwise specified, orders ship FOB MK Machining facility and risk transfers to the customer upon shipment.
8. Inspection and Acceptance
Customers must inspect shipments upon receipt and report any shortages, damage, or nonconformance within 10 business days.
9. Returns
No material may be returned without prior written authorization (RMA) from MK Machining.
10. Warranty
MK Machining warrants that manufactured parts will conform to agreed specifications at the time of shipment. The sole remedy is repair, replacement, or credit at MK Machining’s discretion.
11. Limitation of Liability
MK Machining’s liability shall not exceed the purchase price of the affected parts and excludes indirect or consequential damages.
12. Customer-Supplied Designs
When parts are manufactured to customer drawings or specifications, the customer assumes responsibility for the design.
13. Intellectual Property
Manufacturing processes and documentation developed by MK Machining remain the property of MK Machining unless otherwise agreed in writing.
14. Tooling
Tooling and fixtures produced by MK Machining remain the property of MK Machining unless specifically sold to the customer.
15. Force Majeure
MK Machining is not liable for delays due to circumstances beyond its control including natural disasters, labor disputes, or supply chain disruptions.
16. Governing Law
These terms shall be governed by the laws of the State of Missouri.
17. Entire Agreement
These terms constitute the entire agreement between MK Machining and the customer unless otherwise agreed in writing.
18. Amendments
These terms may only be modified by written agreement signed by authorized representatives of both parties.
19. Minimum Order and Setup Charges
Minimum order values or setup charges may apply to small production quantities due to programming, fixturing, and machine setup requirements.
20. Blanket Orders and Inventory Commitments
For blanket orders or scheduled releases, customers agree to purchase the committed quantity. If orders are canceled or delayed, customers may be responsible for materials purchased or work in progress.
21. Material Cost Escalation and Tariffs
Quoted prices are based on material costs at the time of quotation. MK Machining reserves the right to adjust pricing if significant increases occur due to market conditions, tariffs, or supplier changes.
22. Production Lead Time Protection
Production schedules are based on confirmed orders and standard lead times. Requests for expedited delivery or schedule changes may be subject to expedite fees, overtime charges, or rescheduling delays.
